Terms of Service (aidena.ai)

These Terms of Service (“Terms”) govern access to and use of aidena.ai’s websites, applications, APIs, AI phone-answering services, and related services (collectively, the “Services”). The aidena.ai domain and Services are owned and operated by Aidena LLC.

By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

“Aidena”, “aidena.ai,” “aidena,” “we,” “us,” or “our” refers to Aidena LLC, the provider of the Services and owner of the aidena.ai domain and related brand assets.

“Customer,” “you,” or “your” refers to the individual or entity using the Services.

“Customer Content” means any data, audio, call recordings, transcripts, business information, configuration settings, or other content provided to or generated through the Services.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into contracts.

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Accounts, Administrators, and Security

You are responsible for safeguarding your login credentials and for all activity under your account.

If your organization uses administrative controls or SSO, administrators may manage access, permissions, and configurations.

You must notify us immediately of any unauthorized access.

4. Customer Content and Ownership

You retain ownership of your Customer Content.

You grant Aidena a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, analyze, and display Customer Content solely to:

  • provide and operate the Services,
  • improve system performance and reliability,
  • comply with legal obligations, and
  • enforce these Terms.

You represent and warrant that:

  • you own or have rights to provide all Customer Content, and
  • your use of the Services does not violate any law or third-party rights.

5. AI Services Disclaimer and Human Responsibility

The Services use artificial intelligence and automated systems to answer phone calls, collect information, generate responses, route requests, and perform related functions.

You acknowledge and agree that:

  • AI outputs may be inaccurate, incomplete, misleading, delayed, or inappropriate.
  • Calls may be misunderstood, dropped, misrouted, or incorrectly handled.
  • The Services are not a replacement for human employees or professional judgment.

You are solely responsible for:

  • configuring the system,
  • monitoring call activity,
  • reviewing transcripts and outputs, and
  • verifying all information before relying on it.

Aidena does not guarantee:

  • order accuracy,
  • reservation accuracy,
  • revenue,
  • customer satisfaction,
  • regulatory compliance, or
  • uninterrupted operation.

6. Acceptable Use

You agree not to:

  • violate any law or regulation,
  • upload harmful or unlawful content,
  • transmit malware,
  • interfere with system integrity or security,
  • reverse engineer or attempt to extract models, prompts, or system logic,
  • use the Services for emergency services, medical advice, or illegal activities,
  • impersonate any person or entity without authorization,
  • engage in spam, robocalling, or deceptive practices, or
  • process highly sensitive regulated data (including payment card data, Social Security numbers, government IDs, or protected health information) without written authorization.

We may impose reasonable usage limits.

7. Call Recording, Monitoring, and Consent Compliance

The Services may record, transcribe, analyze, and store phone calls.

You are solely responsible for:

  • determining whether call recording is legal in your jurisdiction,
  • providing legally compliant disclosures to callers, and
  • obtaining any required consent.

Aidena does not provide legal advice regarding call-recording or wiretapping laws.

You agree to indemnify and hold harmless Aidena from any claims, penalties, or fines arising from your failure to obtain required consent.

8. Automated Communications & TCPA Compliance

You represent and warrant that you have obtained all legally required consents for:

  • automated voice calls,
  • AI-driven communications, and
  • SMS or text messaging.

You assume full responsibility for compliance with:

  • the Telephone Consumer Protection Act (TCPA),
  • state telemarketing laws, and
  • similar regulations worldwide.

Aidena is not responsible for determining whether your use of automated communications is lawful.

9. SMS Messaging (If You Opt In)

By opting in to SMS messages from Aidena:

  • Message frequency: up to 100 messages per month (may vary).
  • Message & data rates: may apply.
  • Reply STOP: to unsubscribe.
  • Reply HELP: for assistance.
  • Support: support@aidena.ai.

You represent that you own or control the phone number provided.

10. Fees, Billing, Trials, Renewals, and Refunds

Aidena may offer subscription plans, usage-based pricing, or both.

Pricing is presented at checkout or in an order form and incorporated by reference.

Trials may automatically convert to paid subscriptions.

Subscriptions renew automatically unless canceled.

Usage-based fees may accrue and are billed in arrears.

Cancellation stops future charges only.

All fees are non-refundable except where required by law or explicitly stated in writing.

You are responsible for applicable taxes.

11. Third-Party Services

The Services may integrate with third-party platforms (telecom providers, payment processors, etc.).

Aidena is not responsible for third-party services.

12. Data Retention and Deletion

We may retain Customer Content for operational, legal, security, and backup purposes.

Call reports, call metadata (including duration, time, caller number, and status), and associated call recordings and transcripts are retained for up to two (2) years from the call end date, after which they are automatically purged. Specific retention periods for other categories of Customer Content are described in our Privacy Policy.

Upon termination, we may delete Customer Content within a commercially reasonable period unless legally required to retain it.

We are not responsible for maintaining backups after termination.

13. Service Availability

The Services are provided on an “as available” basis.

We do not guarantee uninterrupted or error-free operation.

Outages may occur due to:

  • maintenance,
  • telecom failures,
  • cloud provider failures,
  • force majeure events, or
  • other circumstances beyond our control.

14. Beta Features

Some features may be labeled beta or experimental and are provided “as is” with no guarantees.

We may modify or discontinue beta features at any time.

15. Suspension and Termination

We may suspend or terminate access immediately if:

  • you violate these Terms,
  • your use poses legal or security risk, or
  • required by law.

You may stop using the Services at any time.

Upon termination, your license to use the Services ends.

Phone numbers on cancellation. Any phone number assigned to your account remains active for thirty (30) days after your subscription is cancelled, allowing reactivation without losing your published number. After the 30-day grace period the number is released back to the upstream telecom carrier and may be reassigned to a third party. Aidena cannot guarantee that a released number can be recovered or restored to your account.

16. Disclaimers

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Aidena disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of Liability

To the maximum extent permitted by law:

  • Aidena shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
  • Aidena’s total liability shall not exceed the amount paid by you in the 12 months before the claim or $100, whichever is greater.

18. Indemnification

You agree to defend, indemnify, and hold harmless aidena from any claims arising from:

  • your Customer Content,
  • your use of the Services,
  • violation of law, or
  • failure to obtain required call or messaging consent.

19. Arbitration & Class Action Waiver

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association.

You waive the right to participate in class actions or representative lawsuits.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules.

21. Force Majeure

Aidena is not liable for delays or failures caused by events beyond reasonable control, including internet outages, telecom failures, natural disasters, war, or government action.

22. Assignment

You may not assign these Terms without our consent.

We may assign freely.

23. Changes to These Terms

We may modify these Terms at any time.

Material changes will be notified as required by law.
